Research Use Only Restriction
2.1 All products sold by Ovrform are intended exclusively for in vitro research, laboratory testing, and non-clinical research applications. Products are labeled “For Research Use Only” (“RUO”) and are NOT intended for human consumption, self-administration, veterinary use, diagnostic purposes, or therapeutic applications.
2.2 By placing an order, Purchaser represents and warrants that: (a) Purchaser is at least 18 years of age; (b) products will be used exclusively for legitimate research and development purposes; (c) products will not be used for human or veterinary administration, consumption, injection, ingestion, inhalation, topical application, or any other form of human or animal use; (d) products will not be used as food, dietary supplements, drugs, medicines, pharmaceuticals, cosmetics, or veterinary products; (e) Purchaser will comply with all applicable federal, state, and local laws governing research chemicals, including any state law restricting the use of research-grade material in compounding; and (f) Purchaser understands these products are not FDA-approved drugs and have not been evaluated by the FDA for safety, efficacy, or any therapeutic indication.
2.3 Ovrform reserves the right to refuse, cancel, or suspend any order where it has reason to believe products will be used for non-research purposes. Ovrform maintains a ZERO TOLERANCE POLICY against in vivo use of any products. Any violation, any communication suggesting inappropriate use, or any indication of misuse will result in immediate denial of service, permanent account termination, prohibition from future transactions, and potential referral to appropriate regulatory and law enforcement authorities.
2.4 No Representation of FDA Status. “Research Use Only” is a labeling convention used by Ovrform and is not a designation, classification, approval, exemption, or safe harbor granted or recognized by the U.S. Food and Drug Administration for drug-class substances. Ovrform makes no representation that RUO labeling confers any regulatory status on any product. Purchaser acknowledges that no statement by Ovrform shall be construed as a representation that any product is lawful for any particular use in any particular jurisdiction.
3
No Medical or Therapeutic Claims
3.1 Ovrform makes no claims, representations, or warranties regarding the safety, efficacy, or suitability of any product for any therapeutic, diagnostic, or clinical purpose. No information on the Website constitutes medical advice, a treatment recommendation, or a claim that any product treats, cures, prevents, or mitigates any disease or medical condition.
3.2 Research summaries and compound descriptions are for informational and educational purposes only, reflecting published preclinical research in non-human models. Such information does not constitute a claim of therapeutic efficacy.
4
No Guidance Policy
At no time shall employees, agents, or representatives of Ovrform be expected or required to provide any implied or explicit information regarding how research chemicals may relate to human use, dosing, administration, effects, or outcomes. No response will be granted regarding how to obtain information on human ingestion, application, or use of any product. Any request for such information will result in immediate refusal of service and account termination. This policy applies to every channel through which Ovrform communicates, including email, live chat, telephone, social media, and any messaging platform.
5
Hazardous Materials Acknowledgment; No Administration Supplies
5.1 Hazardous Materials. Purchaser acknowledges and agrees that the research chemicals sold by Ovrform are potentially hazardous substances that may cause serious injury, illness, or death if used inappropriately, improperly handled, or introduced into any living organism. The chemical, physiological, and toxicological properties of these products may not have been fully investigated. Purchaser assumes all risks associated with the purchase, handling, storage, and use of these products. Purchaser warrants that Purchaser has performed sufficient independent research to understand the health and safety hazards associated with these materials.
5.2 No Administration Supplies. Ovrform does not sell, bundle, package, recommend, or supply bacteriostatic water, sterile water for injection, syringes, needles, alcohol preparation pads, reconstitution kits, or any other item used to prepare or administer a substance to a human or animal. Ovrform will not fulfill any order combining a product with such an item, and will not identify any third-party source for such items.
6
Product Information and Quality
6.1 Ovrform endeavors to provide accurate product descriptions, specifications, purity data, and Certificates of Analysis (COA). However, Ovrform does not warrant that product information is error-free, complete, or current. Product images are for illustrative purposes only.
6.2 Ovrform reserves the right to modify product specifications, discontinue products, or limit quantities without notice.
6.3 Quality Guarantee. Ovrform stands behind the purity and accuracy of its products. If Purchaser independently has an Ovrform product tested by an accredited, HPLC-certified third-party laboratory, and the resulting Certificate of Analysis demonstrates a purity level below the percentage stated on the product COA or a quantity variance greater than 10% from the labeled amount, Ovrform will, at its sole option: (a) issue a full refund of the product cost and initial shipping fees; (b) replace the product; or (c) issue store credit. Ovrform will also reimburse Purchaser for the reasonable costs of the third-party laboratory testing. To process a claim under this guarantee, Ovrform must be able to verify the test results directly with the testing laboratory.
6.4 Identity and Content Testing. Ovrform conducts or obtains identity and content testing on each lot and retains the corresponding Certificate of Analysis. Any lot whose assay does not match its label is rejected and is not offered for sale.
7
Ordering and Payment
7.1 All orders are subject to acceptance by Ovrform. Submission of an order does not constitute acceptance. Ovrform may decline any order at its sole discretion.
7.2 Prices are listed in U.S. dollars and are subject to change without notice. Ovrform is not responsible for pricing errors and reserves the right to cancel orders placed at incorrect prices.
7.3 Payment is due at the time of order unless otherwise agreed in writing.
7.4 No Subscriptions or Automatic Renewal. Ovrform does not offer subscription, auto-ship, standing order, or automatically renewing purchase programs. Every order requires a separate affirmative purchase decision and a separate checkout attestation. No charge will be made to any payment method without a new order.
8
Shipping and Delivery
8.1 Orders are typically prepared and dispatched within 1-3 business days, excluding weekends and holidays. Purchaser will receive tracking information once the package has been processed. Seasonal volume or inventory constraints may occasionally affect timelines.
8.2 Risk of loss and title pass to Purchaser upon delivery to the carrier. Ovrform is not responsible for delays caused by carriers, weather, or circumstances beyond its control.
8.3 Products requiring temperature-controlled shipping will be shipped with appropriate cold chain packaging. Ovrform will use commercially reasonable efforts to maintain product integrity during shipment.
8.4 Ovrform ships within the United States only unless otherwise specified. International orders may be subject to customs requirements, duties, and import restrictions, which are the sole responsibility of the Purchaser. Ovrform does not guarantee that products are legal for research in all jurisdictions.
8.5 Shipping Protection. All orders include shipping protection against loss or transit-related damage.
Lost Shipments: Ovrform requires a 10-business-day waiting period from the date of carrier pickup before a package can be classified as lost and an insurance claim initiated.
Damaged Shipments: Notify Ovrform within 48 hours of delivery with photographic documentation of the damaged products and all internal and external packaging materials.
Theft: Shipping protection does not extend to packages confirmed as “Delivered” by the carrier. Ovrform is not responsible for packages stolen from the delivery location after carrier confirmation of delivery.
8.6 Packaging. Ovrform ships in standard commercial packaging bearing its business name and return address. Ovrform does not offer concealed, unmarked, disguised, or “discreet” shipping, and makes no representation that any shipment will be unidentifiable.
9
Returns and Refunds
Due to the temperature-sensitive and stability-controlled nature of research chemicals, all sales are final once shipped. See the Return and Refund Policy posted on the Website for limited exceptions regarding manufacturing defects, shipping damage, incorrect items, and the Quality Guarantee.
10
Chargeback and Dispute Resolution
10.2 Chargeback Policy. Filing a chargeback without first attempting to resolve the issue through Ovrform’s support team constitutes a violation of these Terms. Any account associated with an unauthorized chargeback will be permanently banned from ovrformpeptides.com. Ovrform will provide the financial institution with the full order history, shipping records, checkout attestation records, and internal fulfillment verification documentation as evidence. Should a chargeback be resolved in favor of Ovrform, a $35 administrative processing fee will be applied to offset legal and administrative costs.
10.3 Good Faith Negotiation. The parties agree to attempt resolution through good faith negotiation for thirty (30) days following written notice.
10.4 Mediation. If unresolved, the parties agree to non-binding mediation in Clark County, Nevada.
10.5 Binding Arbitration. If mediation fails, any remaining dispute shall be resolved by binding arbitration administered by JAMS in Clark County, Nevada, under JAMS Streamlined Arbitration Rules. The arbitrator’s decision is final and binding.
10.6 Governing Law. Laws of the State of Nevada, without regard to conflict of laws provisions.
10.7 Class Action Waiver. Purchaser agrees disputes will be conducted only on an individual basis, and not in a class, consolidated, or representative action. If this Section 10.7 is found unenforceable as to any claim or request for relief, that claim or request shall be severed from the arbitration and heard in a court of competent jurisdiction, and the remainder of Section 10 shall continue to apply to all other claims.
10.8 Scope. Sections 10.3 through 10.7 apply to all disputes arising out of or relating to these Terms, the Website, or any product, including disputes concerning privacy, data collection, tracking technologies, and advertising.
11
Limitation of Liability
11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OVRFORM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OR MISUSE OF ANY PRODUCT, INCLUDING WITHOUT LIMITATION DAMAGES ARISING FROM HUMAN OR VETERINARY ADMINISTRATION, WHETHER BASED ON CONTRACT, STRICT LIABILITY, NEGLIGENCE, OR ANY OTHER THEORY.
11.2 OVRFORM’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
11.3 Nothing in this Section limits any liability that cannot be limited or excluded under applicable law.
12
Indemnification
Purchaser agrees to indemnify, defend, and hold harmless Ovrform, its owners, officers, directors, employees, agents, affiliates, and parent corporations from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) any intentional misuse or inappropriate use of products; (b) any use inconsistent with research-use-only purposes; (c) any harm, injury, illness, or death resulting from human or animal use; (d) Purchaser’s violation of these Terms; (e) Purchaser’s violation of any applicable law; (f) Purchaser’s breach of any representation or warranty in Section 2.2; or (g) any third-party claim arising from Purchaser’s use of any product.
13
User Content, Reviews, and Testimonials
13.1 Ovrform does not solicit, publish, or display consumer testimonials describing personal or human use of any product.
13.2 Purchaser may not submit, and Ovrform will not publish, any review, rating, comment, or other content that: (a) describes human or veterinary administration of any product; (b) describes a therapeutic, health, cosmetic, or performance outcome; (c) is submitted by a person who has not purchased and used the product for the purpose described; or (d) is submitted in exchange for any payment, discount, refund, store credit, free product, contest entry, or other consideration.
13.3 Ovrform does not offer or provide any incentive in exchange for a review, does not condition any incentive on a review being positive, and does not suppress, delete, or withhold publication of a review because it is unfavorable. Ovrform does not operate or fund any website presenting itself as an independent source of reviews of Ovrform products.
13.4 Any person with a material connection to Ovrform, including an employee, contractor, officer, owner, family member of any of those people, or any person receiving compensation or free product, must clearly disclose that connection in any review, endorsement, or public statement about Ovrform or its products.
13.5 Ovrform does not operate an affiliate, referral, ambassador, or influencer commission program, and does not issue discount codes tied to any endorsement.
14
Tracking Technologies and Electronic Communications Consent
14.1 The Website uses cookies, pixels, tags, software development kits, and similar technologies. Some of these technologies are operated by third parties, including analytics providers, advertising partners, and customer support tools. Details are in the Privacy Policy.
14.2 Consent to Recording and Third-Party Participation. By using the Website, Purchaser consents to the collection, recording, and analysis of Purchaser’s interactions with the Website, including page views, clicks, scrolling, mouse movement, form field entries, and the contents of any chat or messaging session. Purchaser further consents to the participation of third-party service providers in that collection and recording, and agrees that those providers act as Ovrform’s agents for that purpose. Purchaser consents to this collection and to any recording or interception it may involve under any federal or state wiretapping, eavesdropping, or invasion of privacy statute.
14.3 Purchaser may withdraw consent at any time by ceasing use of the Website, by using the cookie preference controls made available on the Website, or by enabling an opt-out preference signal recognized under applicable law. Ovrform honors the Global Privacy Control signal where required.
14.4 Service Provider Status. Every provider of session recording, chat, analytics, and advertising measurement technology used on the Website is engaged under a written contract that limits it to processing personal information for purposes Ovrform specifies, prohibits it from selling or sharing that information, and prohibits it from using that information for its own purposes.
15
Intellectual Property
The Website and all content, including text, graphics, logos, images, and software, are the property of Ovrform or its licensors and are protected by intellectual property laws. Purchaser may not reproduce, distribute, modify, or create derivative works without prior written consent. The presence of a product in the catalog does not imply a license to infringe upon any existing patent, and does not imply that any product is equivalent to, a substitute for, or affiliated with any branded pharmaceutical product.
16
Privacy
Ovrform collects and processes personal information in accordance with its Privacy Policy, which is incorporated into these Terms by reference.
17
Fulfillment Verification and Records
17.1 Ovrform uses internal verification and photographic documentation systems for all outgoing packages. For orders of significant value, Ovrform may require signature confirmation upon delivery.
17.2 Ovrform retains order records, checkout attestations, fulfillment verification records, supplier documentation, and lot Certificates of Analysis for the periods stated in its Privacy Policy and as required by applicable law. Purchaser acknowledges that certain state laws impose record retention obligations measured from the expiration date of the last lot of a bulk drug substance.
18
General Provisions
18.1 Entire Agreement. These Terms, the Privacy Policy, the Return and Refund Policy, and order confirmations constitute the entire agreement.
18.2 Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
18.3 Waiver. Failure to enforce any provision is not a waiver.
18.4 Assignment. Purchaser may not assign without written consent.
18.5 Modification. Ovrform may modify these Terms at any time. Changes are effective upon posting. Continued use constitutes acceptance. The version of these Terms in effect at the time of an order governs that order.
18.6 Electronic Records. Purchaser consents to receive these Terms, order confirmations, and required notices electronically.
